Terms & Conditions
Last updated: September 28, 2026
Welcome to UMVELLO. These Terms & Conditions (“Terms”) govern your access to and use of umvello.com and your purchase and use of products offered through our website.
By accessing our website, placing an order, downloading or using a digital product, or otherwise using our services, you agree to these Terms to the extent permitted by applicable law.
Please read these Terms carefully before making a purchase.
1. About UMVELLO
UMVELLO operates an online store offering digital products and tools designed to help customers with everyday organisation, planning, and related activities.
We initially serve customers in Australia and may expand to additional international markets.
UMVELLO may also offer physical products in the future. Where physical products are offered, additional terms relating to shipping, delivery, returns, and fulfilment may apply.
Our customer support email is support@umvello.com.
2. Eligibility and Use of Our Website
You may use our website only for lawful purposes and in accordance with these Terms.
By placing an order, you represent that you have the legal capacity to enter into the transaction or are otherwise authorised to make the purchase under applicable law.
You must not misuse our website, interfere with its operation, attempt unauthorised access, introduce malicious software, engage in fraudulent activity, copy or exploit protected materials without permission, or use the website in violation of applicable law.
3. Digital Products
UMVELLO currently sells digital products.
Digital products may include downloadable files, browser-based tools, templates, planners, organisational tools, guides, or other digital materials.
The exact contents, functionality, compatibility requirements, and method of delivery of each digital product will be described on the applicable product page or accompanying documentation.
Digital products are provided for the purposes described on their respective product pages.
Unless expressly stated otherwise, purchasing a digital product does not transfer ownership of UMVELLO’s intellectual property to you.
4. Digital Product Licence
Unless otherwise stated on the applicable product page, your purchase grants you a limited, non-exclusive, non-transferable licence to use the digital product for your own personal use.
You may not, without our prior written permission:
- resell or redistribute the digital product;
- share copies publicly or commercially;
- sublicense the product;
- reproduce the product for resale;
- remove or misrepresent ownership notices;
- make the product available for download by others;
- use UMVELLO intellectual property to create a competing product substantially derived from our protected materials.
Nothing in this section prevents any use permitted by applicable law.
5. Access, Downloads, and Customer Storage
Digital products may be delivered through download links, website access, email, customer accounts, or another method described at the time of purchase.
Customers are encouraged to download and securely store purchased files and any appropriate backups after receiving access.
Some UMVELLO products may store information locally on the customer’s device or browser. Clearing browser data, changing devices, deleting files, reinstalling software, or other actions may result in the loss of locally stored information.
Where relevant, the applicable product instructions will explain recommended storage or backup practices.
Nothing in this section limits any rights or remedies available under applicable consumer law where a digital product is faulty, materially different from its description, or otherwise fails to satisfy an applicable consumer guarantee.
6. Product Information
We make reasonable efforts to describe our products accurately, including their principal features, functionality, compatibility, and intended use.
Screenshots, illustrations, demonstrations, and promotional images may be used to explain how a product works.
We may update product information to correct errors, improve clarity, or reflect product changes.
Nothing in these Terms limits rights that cannot legally be excluded.
7. Prices and Currency
Prices are displayed in the currency shown on the website or during checkout.
For our initial Australian operation, prices may be displayed in Australian dollars (AUD) unless another currency is clearly indicated.
Any applicable taxes or additional charges will be displayed or handled as required by applicable law.
We may change prices prospectively at any time.
A price change will not ordinarily affect an order already accepted by us, except where a correction is permitted or required by applicable law.
8. Orders
When you submit an order, we may need to verify payment, order information, product availability, security information, or potential fraud before completing the transaction.
Where permitted by law, we may decline or cancel an order for legitimate reasons, including:
- inability to process payment;
- suspected fraud or unauthorised activity;
- material pricing or product-information errors;
- technical errors preventing fulfilment;
- legal or regulatory restrictions; or
- other circumstances that reasonably prevent us from completing the transaction.
If we cancel an order after payment has been collected and the product has not been properly supplied, an appropriate refund will be provided in accordance with applicable law.
9. Payments
Payments may be processed through third-party payment service providers made available during checkout.
By submitting payment information, you represent that you are authorised to use the selected payment method.
Payment processing may also be subject to the payment provider’s terms, security procedures, and privacy practices.
UMVELLO does not intend to directly store complete payment-card numbers when payment information is handled by independent payment processors.
10. Delivery of Digital Products
Digital products are generally made available electronically after successful payment or order confirmation.
Delivery may occur through an immediate download, download link, email, customer account, webpage, or another electronic method identified during purchase.
Occasionally, technical problems, security reviews, payment verification, maintenance, or circumstances outside our reasonable control may delay access.
If you have paid for a product and do not receive the expected access or delivery instructions, contact support@umvello.com.
11. Returns, Refunds, and Consumer Rights
Refunds, remedies, cancellations, faulty products, incorrect products, and related matters are addressed in our Returns & Refunds Policy.
Nothing in these Terms or any UMVELLO policy is intended to exclude, restrict, or modify any consumer guarantee, right, remedy, warranty, or other protection that cannot lawfully be excluded, restricted, or modified.
For Australian consumers, rights and remedies may be available under the Australian Consumer Law (ACL).
A UMVELLO policy concerning change-of-mind refunds does not replace or restrict any remedy that a consumer is legally entitled to receive for a product or service that fails to comply with an applicable consumer guarantee.
12. Australian Consumer Law
Where the Australian Consumer Law applies, UMVELLO products and services come with consumer guarantees that cannot be excluded by these Terms.
Depending on the circumstances, consumers may be entitled to remedies including repair, replacement, refund, cancellation, or compensation where applicable consumer guarantees are not met.
The appropriate remedy depends on factors including the nature of the product or service and whether the failure is major or minor.
Nothing in these Terms should be interpreted as excluding or limiting rights or remedies available under the Australian Consumer Law.
13. Physical Products
UMVELLO may introduce physical products in the future.
If physical products are offered, the relevant product page and our applicable policies will provide information concerning shipping destinations, processing, estimated delivery, fulfilment, returns, damaged or incorrect products, and other relevant conditions.
Physical products may be processed, stored, shipped, or fulfilled by third-party suppliers, warehouses, logistics providers, or carriers.
Nothing concerning physical products will limit mandatory consumer rights applicable to the transaction.
14. Shipping and Delivery
Our Shipping Policy contains information concerning the delivery of physical products when physical shipping is applicable.
Digital products are delivered electronically and do not require physical shipping unless explicitly stated otherwise.
Delivery estimates for future physical products will be estimates unless expressly guaranteed or required by applicable law.
15. Promotions and Discounts
UMVELLO may occasionally offer discounts, promotional codes, bundles, or other promotional offers.
Promotions may have eligibility requirements, expiration dates, exclusions, quantity limits, or additional terms.
Unless otherwise stated, promotional offers may not be combinable.
We may modify or end promotions prospectively, subject to applicable law and any commitments already made to customers.
16. Customer Accounts
Where customer accounts are available, you are responsible for maintaining the confidentiality of your account credentials and providing accurate information.
Please contact us if you believe your account has been accessed or used without authorisation.
Where permitted by law, we may restrict or suspend accounts involved in fraud, abuse, security threats, or material violations of these Terms.
17. Intellectual Property
The UMVELLO name, logos, branding, website design, original software, digital tools, templates, text, graphics, documentation, product designs, and other materials owned by or licensed to UMVELLO may be protected by copyright, trademark, and other intellectual property laws.
Except for the limited rights expressly granted with a purchased product, no ownership rights are transferred to the customer.
You may not reproduce, redistribute, sell, commercially exploit, or create unauthorised copies of protected UMVELLO materials except where permitted by applicable law or expressly authorised by us.
Third-party trademarks and intellectual property remain the property of their respective owners.
18. User Content and Reviews
If our website allows reviews, comments, photographs, feedback, or other submissions, you are responsible for the content you provide.
You must not knowingly submit unlawful, fraudulent, misleading, defamatory, infringing, abusive, or malicious material.
Where you voluntarily submit content for publication, you grant UMVELLO the permissions reasonably necessary to host, reproduce, display, and use that content in connection with operating and promoting our website and services, subject to applicable law and our Privacy Policy.
19. Third-Party Services and Links
Our website may use or link to independent third-party services, including payment processors, hosting providers, ecommerce services, analytics services, fulfilment providers, carriers, or external websites.
Third parties operate according to their own terms, policies, and practices.
UMVELLO is not responsible for independent third-party websites or services except to the extent responsibility cannot legally be excluded.
20. Privacy
Our collection, use, disclosure, and handling of personal information is described in our Privacy Policy.
Please review the Privacy Policy for additional information about how personal information may be handled when you use UMVELLO.
21. Availability and Changes to Digital Products
We aim to maintain our website and products in working order, but uninterrupted or error-free access cannot be guaranteed.
We may maintain, update, improve, replace, or modify our website and digital products from time to time.
Updates will not intentionally remove rights that customers are entitled to under applicable law.
Where a material change affects a purchased product or an ongoing service, we will act in accordance with applicable consumer law.
22. No Professional Advice
Unless a product expressly states otherwise, UMVELLO digital products are general organisational and informational tools.
They are not intended to constitute financial, legal, medical, psychological, accounting, tax, investment, or other regulated professional advice.
Customers remain responsible for decisions made using information they enter into or obtain from our general-purpose organisational tools.
Nothing in this section limits liability that cannot legally be excluded.
23. Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, UMVELLO excludes liability only where that liability may lawfully be excluded.
UMVELLO does not exclude, restrict, or modify consumer guarantees, statutory rights, remedies, or liabilities that cannot legally be excluded, restricted, or modified.
To the extent permitted by law, we are not responsible for losses resulting solely from circumstances outside our reasonable control or from customer misuse of a product.
Any limitation contained in these Terms is subject to applicable mandatory consumer protection laws.
24. Fraud and Unauthorised Transactions
We may use reasonable measures to detect and prevent fraud, misuse, and unauthorised transactions.
Orders may be delayed, reviewed, declined, or cancelled where we reasonably identify a payment, security, legal, or fraud concern, subject to applicable law.
25. International Customers
UMVELLO initially serves customers in Australia and may expand to other countries and regions.
Product availability, currencies, taxes, payment methods, delivery methods, physical shipping options, and certain contractual terms may vary depending on the customer’s location.
Where mandatory laws applicable to a customer provide rights or protections that cannot be excluded by contract, those rights and protections will continue to apply.
26. Changes to These Terms
We may update these Terms from time to time to reflect changes to our business, products, services, website, technologies, or applicable requirements.
The latest version will be posted on this page with an updated “Last updated” date.
Changes will generally apply prospectively except where otherwise permitted or required by law.
27. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
28. Entire Agreement
These Terms, together with our Privacy Policy, Returns & Refunds Policy, Shipping Policy, applicable product information, and any additional terms presented during purchase, constitute the terms governing your use of the UMVELLO website and purchases from us, subject to rights that cannot legally be waived.
